Policy & Procedures

A.Policy

The Detailed Regulations & Agreement Should be kindly discussed through negotiations between two parties.Below is only a sample of the agreement for our appointting an agent.

According to the PRC Economic contract Law and the relevant laws and regulations and based on the principle of mutual agreements

I.    Territory and sales Requirements

II.   Seller Obligations and Rights

1.  Within the validity of the agreement, Party A should not choose another dealer or sale directly without baring Party Bs logo and UL marking to the market region in Part I.

2.  Party A should actively cooperate with buyer in the contract sales region, providing product promotions information services as promised.

3.  Party A should ensure the quality of the products in line with the supplied samples or UL standards.  Party A provides one year warranty for all ordered products.  If there are disqualifications, Party A should exchange the goods unconditionally.  All products require inspection confirmed by both sides.  The claims about color and brightness are unacceptable except problems due to factory mistakes.

4.  Party A should be accountable for delivery fee to ship replacement items back to Party B.

III.   Obligation and right on buyer

1.  Party B should not supply the products to any other manufactures directly and indirectly. Otherwise, if affirmed, Party A has the right to ask compensation from Party B and even cancels the agency authority.

2.  Party B has the obligation to explain and transmit the information related to the market informations, in order to make the timely relate adjustments in the seller convenience and cooperate with the buyer marketing efforts.

3.  Due to the Party Bs illegal behavior punished by the relevant authorities, the responsibility, borne by Party B, if the impact on the products reputation and caused damage to the seller, the seller has the right to pursue Party BS responsibility.

4.  Party B agrees to cover necessary shipping cost to return faulty or disqualified items to Seller, under sellers one year warranty policy.

IV.   Date of delivery, method, rights and obligation.

After Party A received the full payment, seller must send the products and distribution of promotional material to the city of buyer within seven days (whichever in the invoice date).  As a result of delay in delivery by other non-Party events beyond the control of the seller, delivery time can be extended within reasonable time frame.

Upon receiving shipment, buyer should inspect sellers goods, quality and packaging and inform seller about any fault items or damages within three days.  The seller is not responsible if buyer fails to inform within 3 business days or if damages were caused by shipping company; however, seller should assist buyer in settling with the shipping company by any means necessary.  Buyer and seller will follow the return policy for faulty items states in Part II and III.

V.   Termination of contract.

1. If any party fails to fulfill the terms of the contract accordingly, the other party has the right to terminate the contract. 

2. This agreement may be terminated by a written notice and to be effective two months from receipt by the party of such notice.

3. After the formal termination of the contract, buyer can buy products from seller as an ordinary customer.

VI.  Validity of Agreement

1. After confirmed and signed by both parties, this contract takes into effect immediately.

2. The contract is valid without renew, as long as both parties maintain outstanding business partnership and not violating any terms of this agreement.  If any party decides not to continue, the party should consult with the other party.  If both parties agree, the canceling party should provide a written notice to the other party two months before the end of the contract period.

IN WITNESS WHEREOF, the parties hereto have executed this contract in duplicate, the day and year first above written.

B.Procedures

1.If you want to be an agent of us.Please kindly contact us and we would send you a registration form which should be fully filled in thus we will learn the basic information about you.Then we would contact you for further disscusion.

2. If needed,we may pay a visit to your company for better understanding of each other and inspection ,and vice versa.

3.Face-to-Face negotiations would be held by both Binding Parties for Agreement or Contract Signaturing and other Conditions' Disscusion.
